Due diligence on a transaction — what is in the material, what is missing, what is a problem. Available rather than proven, and honest about the data-room limit.

Work through a deal

Due diligence on a transaction: working through the material on a deal and reporting what is in it, what is missing, and what is a problem.

How to run it

A free-form brief. You can name a data room and choose a playbook to shape what gets checked.

What comes back

A written report in the room. Median 16 minutes, median 2.3 credits.

Available rather than proven

Two runs since January. We would rather say that than imply a track record — the product works, and it has not been used enough for us to tell you how it behaves on your kind of deal. Treat the first run as a test.

Do

  • Name the documents that matter and supply them directly.
  • Say what would kill the deal for you. A diligence pass aimed at your actual red lines is worth far more than a general one.
  • Ask what is missing, not only what is there. That half is often the more useful output.

Do not

  • Do not expect us to read a data room from a link. This is the weak point across the whole product — clients hit it in 27 separate conversations. Uploading works; parsing what is inside an arbitrary attachment or an external room often does not. Tell us which documents matter and supply them.
  • Do not ask for legal or tax conclusions. Out of scope here exactly as in Legal.

We run it through Titleman and show your team the finished work next to their own.
